These terms are an agreement between you and Stuart Derman ("Stuart," "we," "us"). They govern your use of stuartderman.com and the forms, newsletters, events and communications connected to it (together, the "Site"). By using the Site, you agree to these terms and to our Privacy Policy. If you don't agree, please don't use the Site.
These terms include an agreement to resolve disputes through individual arbitration and a waiver of class actions. Please read the Disputes section carefully.
Who can use the Site
You must be at least 18 years old and able to enter a binding contract. If you use the Site on behalf of a company, you confirm that you're authorized to accept these terms for it.
Content on the Site
Stuart owns the Site and everything on it, or uses it with permission. That includes essays, frameworks such as Compounding Demand, the Scorecard, talk descriptions, photographs, logos, design and code. You may read the Site, share links to it and quote short passages with attribution. You may not copy, republish, sell or adapt Site content, create derivative works from it, or present it as your own without written permission. Bios, headshots and logos in the media kit may be used to promote an appearance by Stuart, as described there.
You may not scrape, crawl or harvest the Site, or use its content to train, fine-tune or test artificial intelligence or machine learning systems, without written permission.
What you send us
When you send a form, pitch, application, message, comment or feedback (a "Submission"), you confirm that you have the right to share it and that it doesn't violate anyone else's rights.
You keep ownership of your Submission. You grant Stuart, and the companies he founds, leads or controls, a worldwide, perpetual, irrevocable, royalty-free license to use, copy, store, analyze and share your Submission for the purposes described in our Privacy Policy. You also agree that we may use any ideas, suggestions or feedback you send for any purpose, without paying or crediting you.
Submissions are not confidential. Sending one doesn't create a confidential, fiduciary, advisory, employment or investment relationship. It doesn't oblige us to review, respond to, keep, return or act on it. We may already be working on, or may later develop or invest in, ideas and companies similar to yours. Only a separate written agreement signed by Stuart creates confidentiality or other obligations.
No advice and no offer
Content on the Site, including essays, Scorecard results, talks and newsletters, is general information and opinion. It is not legal, financial, tax, investment or other professional advice, and it may not fit your situation. Act on it at your own risk.
Nothing on the Site is an offer to buy or sell securities, or a commitment to invest, advise or mentor. Any investment or advisory engagement happens only under separate written agreements signed by everyone involved. Stuart may decline any opportunity for any reason or no reason.
Inquiries about speaking, events and the founder roundtable are requests only. Nothing is booked or confirmed until both sides agree in writing. Invitations to events are at Stuart's sole discretion. Attendees at off-the-record events are asked to keep discussions private, but we can't control or guarantee what other attendees do.
Acceptable use
You agree not to:
Use the Site for anything unlawful, fraudulent or harmful
Submit false information, impersonate anyone or misrepresent your affiliation
Send spam, malware or automated submissions
Interfere with the Site's security or operation, or try to access systems you're not authorized to use
Use the Site to collect information about other people
We may block access, remove Submissions or end your use of the Site at any time, for any reason.
Other sites and services
The Site links to and relies on services we don't control, such as RELLO, HubSpot and LinkedIn. We aren't responsible for their content, terms or practices.
Disclaimers
The Site and everything on it are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise that the Site will be uninterrupted, error-free or secure, or that any content or result, including Scorecard results, will be accurate or lead to any outcome.
Limitation of liability
To the fullest extent the law allows, Stuart, the companies he founds, leads or controls, and their team members will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from or related to the Site or these terms, even if advised of the possibility. Our total liability for any claim related to the Site or these terms is limited to one hundred US dollars ($100). Some places don't allow these limits, so some of them may not apply to you.
Indemnity
You agree to defend and hold harmless Stuart, the companies he founds, leads or controls, and their team members from any claims, losses and costs, including reasonable attorneys' fees, arising from your Submissions, your use of the Site or your breach of these terms.
Disputes
Governing law. These terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules.
Arbitration. Any dispute arising from or relating to the Site or these terms will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Salt Lake City, Utah, or by video. Either side may instead bring an individual claim in small claims court, and either side may ask a court for an injunction to protect intellectual property.
No class actions. Disputes will be resolved only on an individual basis. You agree not to bring or join a class, collective or representative action, and the arbitrator may not consolidate claims.
Time limit. Any claim must be brought within one year after it arises, or it is permanently barred.
If the arbitration agreement doesn't apply or is found unenforceable, disputes will be heard only in the state or federal courts in Salt Lake County, Utah, and you consent to their jurisdiction. Both sides waive any right to a jury trial.
General
We may change these terms at any time by posting an updated version with a new effective date. Your continued use of the Site after that means you accept the changes. If any part of these terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver of it. You may not transfer your rights under these terms; we may transfer ours. These terms and the Privacy Policy are the entire agreement between you and us about the Site, unless you have a separate written agreement signed by Stuart.
